Terms of Service

1. Who may use the Services

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms, and “you” refers to that business. The Services are intended for contractors, trade professionals, suppliers, and related businesses operating in Florida.

2. Your account

You agree to provide accurate, current, and complete information when you register and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately at admin@floridacontractornetwork.com if you suspect unauthorized use. You may not share your account or create an account for anyone else without permission.

3. Membership plans, fees, and billing

We offer a free plan and one or more paid subscription plans. By choosing a paid plan you authorize us (and our payment processor) to charge the applicable recurring fees, plus any taxes, to your payment method.

• Auto-renewal. Paid subscriptions renew automatically at the end of each billing cycle until you cancel.
• Cancellation. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period.
• Refunds. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods.
• Changes. We may change plan features and pricing prospectively; we will give reasonable notice of material changes.

4. Advertising services

If you create advertising campaigns (“Ads”), additional terms apply, including our Advertising Policy. You are solely responsible for your Ads and the products, services, and landing pages they promote. Ads are reviewed before they run and may be rejected or removed at our discretion. Ad budgets are charged as described at checkout (for example, per impressions served). If an Ad is rejected before serving, any prepaid budget for that Ad is refunded to your balance or payment method.

5. The community and your content

The Services let you post discussions, comments, polls, images, project information, reviews, and other materials (“User Content”). You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your User Content as needed to operate, improve, and promote the Services.

You represent that, for User Content you submit:

• you have all rights necessary to submit it and grant the license above; and
• it does not violate these Terms, our Community Guidelines, our Acceptable Use Policy, or any law or third-party right.

We are not obligated to monitor User Content, but we may review, moderate, remove, or restrict content and may suspend or terminate accounts that violate our policies.

6. Acceptable use

Your use of the Services must comply with our Acceptable Use Policy and Community Guidelines, which are incorporated into these Terms.

7. Projects, bids, and dealings between members

The Services provide tools for members to post projects, invite bids, submit bids, refer work, build networks, and review one another. We are a neutral venue. We are not a party to any agreement, transaction, bid, or project between members and do not act as a broker, contractor, or employer.

• We do not guarantee the quality, safety, legality, or completion of any work, or the accuracy of any bid, listing, profile, license, or insurance information.
• You are responsible for independently verifying the licensing, insurance, qualifications, and reliability of anyone you engage.
• Bidding may be “sealed,” meaning competing bidders’ identities and amounts are hidden; aggregate signals we display are estimates and provided as-is.
• Reviews reflect the opinions of the members who write them, not us.

8. Compliance features are not legal advice

Tools that track licenses, insurance certificates, W-9s, expiration reminders, and similar items are provided for convenience only. They are not legal, tax, insurance, or compliance advice, and you remain responsible for meeting all applicable legal and regulatory obligations. We are not a licensing authority or government agency.

9. Intellectual property

The Services, including our software, design, logos, and content (excluding User Content), are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Services in accordance with these Terms. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction.

10. Third-party services

The Services may link to or integrate third-party websites and services (for example, payment processors and advertiser landing pages). We are not responsible for third-party services, and your use of them is governed by their own terms.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Florida Contractor Network LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

13. Indemnification

You agree to indemnify and hold harmless Florida Contractor Network LLC from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your User Content, your Ads, your dealings with other members, or your violation of these Terms or any law.

14. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if we believe you have violated these Terms or our policies, or to protect the Services or other members. Upon termination, the licenses you granted survive only as needed for backups, legal compliance, and content others have shared.

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Subject to any applicable law, you and we agree that the state and federal courts located in Florida will have exclusive jurisdiction over disputes that are not otherwise resolved, and you consent to personal jurisdiction there. Either party may seek injunctive relief to protect its intellectual property or confidential information.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new date or by notifying you in the app). Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.

17. Miscellaneous

These Terms, together with the policies referenced here, are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
